Corporate governance

Board minutes, audits and what regulators require.

The zone holds the three products that keep a company's record of doing things properly: the board portal, the quality management system and marketing compliance for banks.

Corporate governance is the system of rules and records by which a company is directed and controlled: its board meetings, its audits, its response to emergencies and the disclosures that regulators require. For a finance department, this last job is not about money. It is the record that shows the company did things properly.

Imagine a listed chemicals company in Ankleshwar. Its board of directors meets every quarter, and its decisions must be written down in minutes. It owns 12 companies in five countries, each with its own filings and deadlines. Its plants are audited for quality and safety. One night, a fire breaks out in a warehouse, and afterwards the company must show what it did. Each of these records is kept in a different product.

The board portal is the secure system in which directors receive their papers, vote and sign the minutes. Its part entity management software keeps the register of every company in the group, with its directors and filing deadlines. The quality management system (QMS) records audits, defects and the corrections that followed. Food makers use a version of it for one more job: food traceability, tracing each batch back to its ingredients. On the night of the fire, critical event management tells every affected employee what to do, and records that each one is safe.

Banks have one more duty. Every interest rate, fee and offer they publish must be accurate, and must use the wording the regulator requires. Marketing compliance for banks checks this.

This zone covers the compliance of the organisation itself: its board, its people, its factories and its promises to customers. The compliance of computer systems and data is covered under governance, risk and compliance (GRC), whose GRC platform holds the company's list of risks and controls. In both, AI models now write the first draft of minutes, audit reports and disclosure checks, and a person approves them. This way of working is called human in the loop.
