A board portal is a secure system in which a company's directors receive their meeting papers, read them, vote on decisions and sign the minutes. It replaces the thick printed file that used to be couriered to each director before a board meeting. It is also called board management software.
A board of directors is the group that oversees a company on behalf of its shareholders. It meets regularly to approve the accounts, the budget, large investments and senior appointments. Before each meeting, the company secretary, the officer who keeps the company's legal records, prepares the papers for the meeting. This set of papers is called the board pack. After the meeting, the decisions are recorded in minutes, which the chairperson signs. In India, SEBI's listing rules require a listed company's board to meet at least four times a year, with no more than 120 days between two meetings.
Board papers are some of the most sensitive documents a company has. They include results before they are published, plans to buy other companies and legal disputes. Sent by email, they can be forwarded, left on personal laptops or seen by the wrong person. A board portal keeps them in one place. Each director logs in with multi-factor authentication and can see only the papers for the meetings and committees he or she belongs to. The company can withdraw access at once, for example when a director's term ends.
Consider a listed tea company in Kolkata with nine directors. A week before the quarterly meeting, the company secretary uploads a 280-page board pack, including the unpublished quarterly results. Each director reads it on a tablet and adds private notes. Between two meetings, the board must approve an urgent lease for a new warehouse. The company secretary sends a resolution by circulation through the portal, which lets directors approve a decision without meeting. Seven of the nine directors approve it on their phones within two days. After the next meeting, the draft minutes are shared in the portal. The chairperson signs them with an electronic signature, and the portal stores them with the papers they refer to.
Board portals have grown into governance platforms. The same vendors now sell entity management software, the register of every company in a group. They also sell a risk register that links to the company's GRC platform, and tools for ESG reporting, the report on a company's environmental, social and governance record. In India, the largest listed companies must publish an ESG report called the Business Responsibility and Sustainability Report (BRSR). Its emissions figures come from carbon accounting software.
The newest change is AI. A large language model can summarise a 280-page board pack into two pages for each director, or write the first draft of the minutes from a recording of the meeting. The company secretary checks and corrects the draft before anyone signs it.
