Contract lifecycle management (CLM) software The contract itself, from the draft to the signature and after An offer letter from an employer, the terms you accept when you install an app, a rental agreement printed on stamp paper: each of these is a contract. A company signs thousands of them, with customers, suppliers, staff and landlords. Each one binds the company to do something, such as pay by a date, deliver by a date, or give notice before it renews. Losing track of them costs money.

The life of a contract. Every contract goes through the same stages:

Draft: the first version is written, usually from a template, a standard contract with approved wording. Negotiate: the other side, called the counterparty, proposes changes, and the two sides go back and forth. Approve: the legal team, and often the finance team, check the final version. Sign: today, usually with an electronic signature. (More on electronic signature in Market Segment 10.4, Document processing, management and e-signature software, in Industry Vertical 10, ERP and business automation.) Store: the signed contract goes into one place where it can be searched. Track: someone has to watch what the contract requires: payments, renewal dates, price changes and penalties. The life of a contract: it is drafted from a template, negotiated with the counterparty, approved by the legal team, signed, stored in one searchable place, and tracked for payments, renewals and penalties. Contract lifecycle management software handles every stage. The life of a contract: it is drafted from a template, negotiated with the counterparty, approved by the legal team, signed, stored in one searchable place, and tracked for payments, renewals and penalties. Contract lifecycle management software handles every stage.

Software that handles all these stages is called contract lifecycle management, or CLM.

Why companies buy it. In many companies, signed contracts end up scattered across email inboxes and shared folders. Nobody notices when a contract renews itself automatically, when a supplier's discount should apply, or when a penalty could be claimed. The money lost this way is called value leakage. CLM puts every contract in one place and reminds people what each one requires.

Who buys it. The main buyer is the company's legal department. The procurement team, which buys for the company, uses it for contracts with suppliers. The sales team uses it for contracts with customers. (More on the software that runs the legal department in Market Segment 43.3, Legal practice and matter management software.)

The buyers come in two sizes. Large companies, with tens of thousands of contracts, buy big platforms that connect to their other systems, such as their ERP and CRM. Growing companies want something simpler that they can set up quickly.

India's own rules. In India, many agreements must carry stamp duty, a tax paid when the agreement is made. It used to be paid by buying stamp paper. E-stamping lets it be paid online. And under India's Information Technology Act, an electronic signature, such as Aadhaar eSign, is legally valid for most agreements.

India has produced several of the leading companies in this field.

Every company named here has posted software engineering jobs in India. Famous companies that don't actively hire software engineers in India are left out.

Platforms for large companies

Icertisfounded in Pune, sells a contract-intelligence platform. Contract intelligence is CLM that also analyses what the contracts say. Many of the world's largest companies manage their contracts on it. Icertis builds most of it in Pune, and has the most job postings in this Market Segment. Exari Systemswith engineers in Pune and Hyderabad, sells CLM built on a structured description of how contracts are put together. This lets the software work with each part of a contract, not just its text.

Contract management for more companies. Three companies sell contract management, analytics and electronic signature:

Sirionfounded in India, with engineers in Delhi. SpotDraftwith engineers in Bengaluru, which sells to growing companies. SignDeskwhich adds the e-stamping and electronic signature that Indian law provides for. The contract read by AI.

Contracts are long, similar to each other and full of obligations nobody tracks. AI models now draft contracts from templates. They compare the counterparty's changes with the company's own rules for what it will accept, which lawyers call a playbook. And they pull out every renewal date, price change and penalty. Contract software, much of it built in Pune and Bengaluru, is among the first legal markets where AI does most of the reading.

That is contract software: one place to draft, negotiate, sign, store and track every contract a company makes. Several of its leading companies were founded in India and build their products here.
